Terms of Service

1. Services Description

GSR Inc LLC ("GSR," "we," "us," or "our") provides sales consulting, training, and strategy services including but not limited to: Deal Desk strategy sessions, Sales Process Audits, Elite Training Academy memberships, and the Precision Strike Playbook digital product. By engaging any GSR service or purchasing any GSR product, you ("Client") agree to be bound by these Terms of Service.

Services are delivered remotely unless otherwise agreed in writing. GSR reserves the right to modify service offerings at any time with reasonable notice to active clients.

2. Payment Terms

All fees are quoted in US dollars. Payment is due at the time of purchase or as specified in your service agreement. The following terms apply by product type:

• Deal Desk (Rapid Strike Session, $750): Payment due in full before the session begins.
• Deal Desk Monthly Retainers ($1,950/$3,750): Billed monthly in advance. Retainer access begins on payment confirmation. Unused hours do not roll over.
• Training Membership ($149/$890/$1,490/month): Billed monthly in advance. Access begins immediately upon payment.
• Enterprise/Custom Engagements: Governed by a separate Statement of Work and payment schedule agreed upon in writing.
• Precision Strike Playbook ($97): One-time payment. Digital delivery via email within 24 hours of confirmed payment.

GSR uses third-party payment processors. By providing payment information, you authorize the applicable charge. GSR does not store full payment card details.

3. Cancellation & Refunds

The following cancellation and refund terms apply:

• Monthly Memberships: Cancel anytime. Cancellation takes effect at the end of the current billing cycle. No partial-month refunds.
• Deal Desk Retainers: Cancel with 7 days' written notice before the next billing cycle. Sessions already completed are non-refundable.
• One-Off Sessions: Reschedule with 24 hours' notice at no charge. Cancellations within 24 hours of a scheduled session are non-refundable. No-shows forfeit the session fee.
• Precision Strike Playbook: Due to the digital and immediately deliverable nature of this product, all sales are final. No refunds after delivery.
• $97 Credit: The Precision Strike Playbook purchase price ($97) is credited toward any GSR premium engagement when applied within 30 days of purchase. The credit is non-transferable and has no cash value.

4. Confidentiality & NDA

GSR treats all client information — including deal specifics, pipeline details, company financials, and strategic discussions — as strictly confidential. We do not share client information with third parties without express written consent, except as required by law.

Deal Desk sessions are conducted under implied confidentiality. For clients requiring a formal executed NDA prior to any session, GSR will provide one upon request at no additional charge. Contact to request an NDA before scheduling.

GSR may reference client engagements in aggregate and anonymized form (e.g., "worked with a 25-person SaaS team") for marketing purposes. No identifying information will be shared without written consent.

5. Limitation of Liability

GSR Inc LLC provides consulting, training, and strategy services based on professional expertise and experience. All advice, frameworks, and recommendations are provided in good faith. However, GSR makes no guarantee of specific outcomes, including revenue targets, close rates, or deal results.

To the maximum extent permitted by applicable law, GSR Inc LLC's total liability to Client for any claim arising from or related to services shall not exceed the total fees paid by Client to GSR in the three (3) months preceding the claim.

GSR Inc LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, even if advised of the possibility of such damages.

6. Intellectual Property

All GSR content, frameworks, methodologies, training materials, and digital products — including the Precision Strike Playbook — are the exclusive intellectual property of GSR Inc LLC. Purchase of any product or service grants a limited, non-exclusive, non-transferable license for your internal business use only.

Reproduction, redistribution, resale, or public sharing of GSR materials without written permission is prohibited. Each Precision Strike Playbook license is watermarked per registered operator. Unauthorized distribution constitutes a breach of these Terms and may result in legal action.

7. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms shall first be submitted to binding arbitration in Virginia Beach, Virginia, under the rules of the American Arbitration Association (AAA). Each party shall bear its own arbitration costs unless the arbitrator determines otherwise. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
